TERMS OF SERVICE

These Terms of Service apply to the use of the PeriPerryArt online shop and to contracts concluded through it.

I operate PeriPerryArt as a sole trader and Kleinunternehmer (Small business). References in these Terms to “I”, “me” and “my” refer to the individual seller named above.
PeriPerryArt is hosted by Shopify, which provides the technical e-commerce platform. Purchases made through the shop are contracts directly between you and me. Shopify is not the seller of the products offered in the shop.
These Terms apply together with my Privacy Policy, Returns, Withdrawal and Refund Policy, and any product-specific information made available before checkout. Mandatory consumer rights remain unaffected.
1. SCOPE AND DEFINITIONS
These Terms apply to consumers and business customers purchasing through the shop.
A “consumer” is a natural person entering into a transaction mainly for purposes outside that person’s trade, business or profession.
A “business customer” is a person or entity acting primarily for commercial or professional purposes.
The products offered may include:
- completed original physical artwork;
- standard prints of existing artwork on paper, canvas or other physical media;
- commissioned or personalized physical artwork;
- downloadable digital artwork and image files; and
- related art products and services.
2. ACCESS TO THE SHOP AND CUSTOMER ACCOUNTS
You may use the shop only for lawful purposes.
Where an account is available, you are responsible for keeping your login details confidential and for activity carried out through your account.
You must provide complete, current and accurate information when placing an order, including billing, payment, shipping and contact information.
You may not transfer or sell your customer account to another person.
3. PRODUCT PRESENTATION
I make reasonable efforts to describe and display products accurately.
Colors, contrast, brightness, texture and other visual characteristics may appear differently depending on:
- your screen and device settings;
- lighting conditions;
- the printing method;
- the paper, canvas, frame or other material used; and
- reasonable production tolerances.
Minor, technically unavoidable differences do not necessarily constitute a defect.
This does not affect your statutory rights where a product materially differs from its description, an approved commission, agreed specifications or other agreed characteristics.
4. STANDARD PHYSICAL ARTWORK AND PRINTS
Completed original artwork offered without individual customer specifications is treated as a standard physical product.
Prints of my existing artwork on paper, canvas or another physical medium are also generally treated as standard physical products, even where they are manufactured only after an order is placed.
The fact that a product is produced on demand does not, by itself, make it personalized or remove a statutory withdrawal right.
Selecting from standard options offered in the shop, such as size, material, orientation or frame type, does not necessarily make a product personalized.
5. COMMISSIONED AND PERSONALIZED ARTWORK
Commissioned or personalized artwork is artwork created or materially adapted according to your individual instructions.
This may include:
- portraits based on photographs supplied by you;
- artwork depicting a person, pet, property or other individually selected subject;
- artwork created according to customer-specific composition, color or dimensional requirements;
- artwork containing a name, date, dedication, message or other personal content;
- substantial alterations to an existing artwork or design; and
- other work that is clearly tailored to your personal requirements.
Where permitted by applicable law, commissioned or personalized artwork may be excluded from the statutory change-of-mind withdrawal right.
Where this exclusion applies, I will inform you before you place the order.
The exclusion does not affect your rights where the artwork is defective, damaged, incorrectly produced or materially different from the agreed commission.
6. CUSTOMER-SUPPLIED MATERIALS FOR COMMISSIONS
Where you provide photographs, text, designs or other material for a commission, you confirm that:
- you are entitled to provide and authorize use of that material;
- its use for the commission does not infringe another person’s copyright, trademark, privacy, personality or other rights; and
- any required consent from identifiable persons has been obtained.
I may use customer-supplied material only as reasonably necessary to perform the commission, unless you separately consent to another use.
You remain responsible under applicable law for third-party claims arising from material that you were not entitled to provide, except to the extent that I caused or contributed to the infringement.
7. DIGITAL ARTWORK AND DIGITAL CONTENT
Digital products include downloadable artwork, digital prints, image files, templates and other electronically supplied content.
Where you request immediate delivery of digital content before the end of an applicable statutory withdrawal period, delivery begins only after you:
1. expressly consent to delivery beginning before the withdrawal period expires; and
2. acknowledge that you lose the statutory withdrawal right once delivery begins.
Where required by law, I will confirm that consent and acknowledgment on a durable medium, such as the order-confirmation email.
If you do not provide the required consent and acknowledgment, immediate delivery may not be available and delivery may be postponed until the applicable withdrawal period expires.
The loss of the withdrawal right does not affect statutory remedies where digital content is not supplied, inaccessible, corrupt, incomplete, materially different from its description or otherwise non-conforming.
8. DIGITAL ART LICENCE
Unless a product page expressly states otherwise, purchasing digital artwork grants you a non-exclusive, non-transferable licence to:
- download and store the purchased file;
- use it for your own personal, non-commercial purposes; and
- create physical prints for your own personal use.
Copyright and all other intellectual-property rights remain with me.
Unless I have given prior written permission, you may not:
- resell, sublicense, share or redistribute the digital file;
- upload it to a file-sharing, stock, template or print-on-demand platform;
- make the file available to another person;
- use it commercially or on products for sale;
- use it in advertising, branding or as a trademark;
- claim authorship or ownership of the artwork;
- create or sell NFTs based on it;
A separate commercial licence must be agreed in writing where commercial use is intended.
9. COPYRIGHT IN PHYSICAL AND COMMISSIONED ARTWORK
Purchasing an original physical artwork, print or commission transfers ownership of the physical item only.
Copyright, reproduction rights and other intellectual-property rights remain with me unless they are expressly transferred in writing.
You may display the physical artwork for personal use and may resell the physical item, subject to applicable law.
You may not reproduce, commercially exploit, digitize for distribution, license or create commercial derivative works from the artwork without my prior written permission.
I will not publicly use photographs of a privately commissioned work, or the customer-supplied source material, for advertising, portfolio or social-media purposes without separate consent where that consent is legally required.
10. ORDERS AND CONTRACT FORMATION
Product listings in the shop are invitations to place an order and do not, by themselves, constitute binding offers.
By submitting an order, you make a binding offer to purchase the products in your cart.
The contract is concluded when I accept your order by:
- sending an express acceptance or order-confirmation message that constitutes acceptance;
- beginning production or fulfillment;
- dispatching a physical product; or
- making digital content available,
depending on the checkout and fulfillment process communicated to you.
An automatically generated message confirming receipt of an order does not necessarily constitute acceptance unless it expressly states otherwise.
I may reject or cancel an order for a legitimate reason, including:
- product unavailability;
- an obvious pricing or description error;
- suspected fraud or unauthorized payment;
- inability to deliver to the stated address;
- a legal restriction; or
- inability to complete a commission as requested.
If I do not accept an order after payment has been received, I will refund the payment without undue delay.
Mandatory withdrawal and cancellation rights remain unaffected.
11. ORDER CHANGES AND CANCELLATIONS
Print-on-demand and commissioned orders may enter production shortly after purchase.
Requests to change or cancel an order should be submitted immediately through Shopify or by email.
I will make reasonable efforts to accommodate a request, but changes cannot be guaranteed once production, fulfillment or digital delivery has begun.
This operational limitation does not remove any mandatory statutory right.
Where commissioned or personalized artwork has entered production, cancellation may be unavailable where permitted by applicable law.
12. PRICES, TAXES AND PAYMENT
All prices shown to consumers are total prices unless expressly stated otherwise.
As a Kleinunternehmer within the meaning of § 19 UStG, German VAT is not separately charged or shown, unless my tax status changes or applicable law requires otherwise.
Shipping costs, customs duties, import taxes and any other additional charges are displayed or explained separately where applicable.
The final amount payable is shown before you submit the order.
You must provide accurate and complete payment information and must be authorized to use the selected payment method.
Prices may change for future orders, but the price applicable to an accepted order is the price shown when the order was placed, subject to correction of obvious errors.
13. SHIPPING AND PRINTIFY FULFILLMENT
Physical print-on-demand products may be produced and shipped on my behalf through Printify and independent print providers within Printify’s fulfillment network.
Products from the same order may be produced at different facilities and may arrive in separate parcels.
Delivery dates are estimates unless a binding delivery date has expressly been agreed.
I am not responsible for delays caused by circumstances outside my reasonable control, but your mandatory rights regarding delayed or failed delivery remain unaffected.
For consumer purchases, the risk of accidental loss or damage passes to you when you, or a third party designated by you other than the carrier, receives the physical product, except where applicable law provides otherwise.
14. CUSTOMS AND IMPORT CHARGES
International orders may be subject to customs duties, import taxes, brokerage fees or local handling charges.
Where those charges are not collected at checkout, you may be required to pay them directly to the relevant authority or carrier.
Unless applicable law requires otherwise, charges imposed independently by customs authorities, carriers or other third parties are not refundable by me.
Refusal of delivery solely because import charges are payable does not automatically create a right to a full refund.
Mandatory consumer rights remain unaffected.
15. RETURNS, WITHDRAWALS AND REFUNDS
Returns, statutory withdrawals, refunds and remedies for damaged, defective or non-conforming products are governed by my Returns, Withdrawal and Refund Policy https://periperryart.myshopify.com/policies/refund-policy.
That policy forms part of these Terms but does not limit any mandatory statutory rights.
You may submit a withdrawal, return or refund request through Shopify, by email or by post.
You are not required to contact me by telephone in order to exercise a statutory right.
16. DEFECTIVE OR NON-CONFORMING PRODUCTS
Nothing in these Terms excludes or restricts mandatory statutory rights relating to defective, damaged or non-conforming goods or digital content.
Depending on applicable law and the circumstances, remedies may include:
- repair or correction;
- replacement or reprint;
- restoration of digital access;
- a price reduction;
- contract termination;
- a full or partial refund; or
- damages.
For visible print, production or shipping issues, I may ask for photographs and order details so that I can assess the issue and submit a claim to Printify or the relevant print provider.
Any operational reporting period requested by me or Printify does not shorten a longer mandatory statutory period.
17. OPTIONAL THIRD-PARTY TOOLS AND LINKS
The shop may provide access to third-party tools, services or links.
Those third parties may apply their own terms and privacy policies.
To the extent permitted by law, I am not responsible for third-party content, services or websites that I do not control.
This section does not limit liability that cannot legally be excluded.
18. RELATIONSHIP WITH SHOPIFY
Shopify provides the technical platform through which the shop operates.
Any purchase contract is concluded directly between you and me.
Shopify is not responsible for manufacturing, supplying or warranting products sold by me, except to the extent that Shopify separately assumes responsibility under its own services or applicable law.
Nothing in these Terms excludes any rights you may have directly against Shopify under applicable law or Shopify’s own terms.
19. PRIVACY
The processing of personal data is governed by my Privacy Policy [LINK].
Because the shop is hosted by Shopify and physical orders may be fulfilled through Printify, personal data may be shared with Shopify, Printify, payment providers, carriers and other service providers where necessary to operate the shop, process payments, fulfill orders and comply with legal obligations.
Further information, including information about international data transfers, is provided in my Privacy Policy.
20. FEEDBACK AND REVIEWS
If you submit a review, comment or other voluntary feedback about the shop or products, you grant me a non-exclusive, worldwide, royalty-free licence to display, reproduce and use that feedback for operating and promoting the shop.
This licence does not apply to photographs, personal data or other material submitted for a private commission unless you separately agree to that use.
You confirm that you have the rights necessary to submit the feedback and that it does not infringe the rights of another person.
I may remove feedback that is unlawful, abusive, misleading, defamatory, infringing or otherwise inappropriate.
21. PROHIBITED USES
You may not use the shop or Services:
- for unlawful or fraudulent purposes;
- to infringe intellectual-property, privacy, personality or other rights;
- to transmit malicious code;
- to obtain unauthorized access to systems or accounts;
- to scrape, copy or extract protected content in violation of applicable law or these Terms;
- to interfere with security measures;
- to impersonate another person; or
- to harass, threaten or harm me, my contractors, service providers or another person.
I may suspend or terminate access where I reasonably believe that these Terms or applicable law have been violated.
22. WEBSITE INFORMATION
General information made available through the shop is provided for informational purposes.
I make reasonable efforts to keep it accurate and current but do not guarantee that all non-contractual website information is complete or error-free at all times.
This does not limit responsibility for product descriptions, agreed specifications, mandatory disclosures or other information that forms part of a contract.
23. LIABILITY
I am liable without limitation:
- for damage caused intentionally or by gross negligence;
- for injury to life, body or health caused intentionally or negligently;
- under mandatory product-liability law;
- where I have given an express guarantee; and
- in any other case in which liability cannot legally be excluded or limited.
In cases of slight negligence, I am liable for breach of an essential contractual obligation whose performance is necessary for the proper execution of the contract and on whose performance the customer may ordinarily rely.
In such cases, liability is limited to the foreseeable damage typical for the contract, to the extent permitted by law.
Mandatory consumer rights remain unaffected.
24. CUSTOMER RESPONSIBILITY
You are responsible under applicable law for loss or damage caused by your intentional or negligent unlawful use of the shop or Services.
Nothing in this section creates liability beyond liability imposed by applicable law.
25. TERMINATION OF WEBSITE ACCESS
I may suspend or terminate access to the shop or a customer account where there is a legitimate reason, including unlawful use, fraud, security risks or a material breach of these Terms.
Termination of website access does not affect rights or obligations arising from an existing purchase contract.
Provisions that by their nature should continue after termination, including intellectual-property, payment and liability provisions, remain in effect.
26. ERRORS AND CORRECTIONS
I may correct typographical errors, inaccuracies or omissions in website content.
Where an obvious pricing or product-description error affects an order, I may reject or cancel the order before or after acceptance only to the extent permitted by law.
If an affected order is cancelled after payment, I will refund the payment without undue delay.
27. ASSIGNMENT
You may assign claims against me in accordance with applicable law.
I may transfer a contract or my rights and obligations only where this does not reduce your contractual or statutory rights and where the transfer is otherwise permitted by law.
28. SEVERABILITY
If any provision of these Terms is unlawful, invalid or unenforceable, the remaining provisions remain effective.
Any invalid provision will be replaced only to the extent and in the manner provided by applicable law.
29. NO WAIVER
My failure to exercise or enforce a right does not constitute a waiver of that right.
30. ENTIRE AGREEMENT
These Terms, together with the policies and product-specific information incorporated by reference, form the contractual terms applicable to the use of the shop and purchases made through it.
Mandatory statutory rights and individually agreed terms take priority where applicable.
31. GOVERNING LAW AND JURISDICTION
These Terms and contracts concluded through the shop are governed by the law of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods, to the extent permitted by law.
For consumers, this choice of law does not deprive you of mandatory protections provided by the law of the country in which you habitually reside where those protections apply regardless of the chosen law.
Statutory rules concerning court jurisdiction remain unaffected.
32. CHANGES TO THESE TERMS
I may update these Terms for future use of the Services and for future orders.
The version applicable to an order is normally the version made available when that order was placed.
Changes do not retroactively alter an existing contract unless permitted by law or expressly agreed.
